Article III: Membership and Voting Rights
Section 1. Membership
Every Owner of a Lot which is subject to assessment shall be a Member of the Association. Membership shall be appurtenant to and may not be separated from ownership of any Lot which is subject to assessment.
Section 2. Voting Classes
The Association shall have two classes of voting Membership:
Class A
Class A Members shall be all Owners, with the exception of the Declarant, and shall be entitled to one vote for each Lot owned. When more than one person holds an interest in any Lot, all such persons shall be Members. The vote for such Lot shall be exercised by a majority of all such members as they determine, but in no event shall more than one vote be cast with respect to any Lot.
Class B
The Class B Member shall be the Declarant. The Class B Member shall be entitled to 3 votes for each Lot owned. The Class B Membership shall cease and shall be converted to Class A Membership on the happening of any of the following events, whichever occurs earlier:
(a) the total votes outstanding in the Class A Membership equals the total votes outstanding in the Class B Membership; or
(b) the date exactly 6 years after the recording of this Declaration; or
(c) at the election of the Declarant (whereupon the Class A members shall be obligated to elect the Board of Directors and assume control of the Association); or
(d) three (3) months after 90% of the Lots have been conveyed to Owners.
Section 3. General Matters
When reference is made herein, or in the Articles of Incorporation, Bylaws, rules and regulations, management contracts or otherwise, to a majority or specific percentage of Members, such reference shall be deemed to be reference to a majority or specific percentage of the votes of Members and not of the Members themselves.
